Thank you for using Laya. We build it to help creative teams do their best work. These Terms of Service ("Terms") set out the rules for using it. Please read them carefully. They include limits on our liability.

- Organization admins control who can join their organization and what members can do. You are responsible for all activity in your account, and admins are responsible for activity in their organization, including by the people they invite.

Your content
- You own the files, text and other content you or your organization put into Laya ("Your Content"). We claim no ownership of it.
- You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transcode, transcribe, analyse and display Your Content, and to send it to the platforms and apps you choose, only as needed to provide and improve the Services for you. This licence ends when Your Content is deleted from the Services, except for copies we are required to keep by law or that remain in backups for a short time.
- You confirm that you have all the rights and permissions needed to upload Your Content and to let us use it as described in these Terms, including the consent of anyone who appears in it where the law requires.
- We don't review content before it is uploaded, but we may remove content that we reasonably believe breaks these Terms or the law. If you think content on Laya infringes your rights, email support@laya.inc.
- You are responsible for keeping your own copies of important content. You can download your files from Laya at any time while your account is active.
Publishing to other platforms
- Laya lets you connect accounts on third-party platforms such as Instagram, Facebook, Threads, YouTube, TikTok, LinkedIn and Pinterest, and publish content to them. When you connect an account, you authorize us to act on your behalf with that platform, within the permissions you grant, for example to publish content when you or a member of your organization tells us to and to read insights about your accounts and posts.
- You are responsible for what you publish, and for complying with each platform's terms, policies and community guidelines, including any rules about branded content, paid partnerships and advertising disclosures. By connecting a YouTube channel, you agree to the YouTube Terms of Service.
- You must only connect accounts you own or are authorized to manage. Any member of your organization can use the accounts connected to it.
- Third-party platforms are not part of the Services and we don't control them. They may change or withdraw their APIs, reject or remove content, or limit or suspend your account. We are not responsible for what they do, and we can't guarantee that publishing or insights will always be available.
- Laya is not affiliated with, endorsed by or sponsored by any of these platforms. Their names and logos are trademarks of their owners.
AI features
Laya includes features powered by artificial intelligence, such as the AI assistant, search and transcription. AI output can be inaccurate or incomplete, so please check it before you rely on it or publish it. You are responsible for how you use AI output. We don't use Your Content to train AI models.
API, MCP and connected apps
- You can use Laya through our API and MCP server, including from AI clients and other apps you connect. These Terms apply to that use too.
- Apps you connect act with your permissions. You are responsible for what they do in your account, and their use of your data is governed by their own terms and privacy policies. You can revoke an app's access at any time.
- We may limit or suspend API or MCP access that is abusive or excessive, or that harms the Services or other customers. Where we can, we'll warn you first.
Fees and payment
- Some parts of the Services are paid. Prices, plan limits (such as seats and included storage) and any free trial are shown when you subscribe or in your organization's billing settings.
- Paid plans are billed in advance on a recurring basis, plus any usage charges, such as storage over your plan's allowance, which are billed in arrears. Payments are processed by Stripe. Subscriptions renew automatically until you cancel.
- Fees are exclusive of VAT and other taxes, which we will add where required. You are responsible for any taxes that apply to your use of the Services.
- If a payment fails, we may suspend paid features until it is made. If your account remains unpaid, we may cancel it.
- We may change our prices. We'll give you at least 30 days' notice by email before a price change affects your subscription, and you can cancel before it takes effect.
- Except where the law requires otherwise, fees are non-refundable, and we don't give refunds or credits for partial billing periods or unused seats.
Cancellation and termination
- You can cancel your subscription at any time from your organization's billing settings. Cancellation takes effect at the end of your current billing period, and you won't be charged again.
- You can delete your organization from its settings, or ask us to delete your account by emailing support@laya.inc. Deleted content is removed from our systems as described in our Privacy Policy and cannot be recovered after that, so please download anything you need first.
- We may suspend or end your access to the Services if you break these Terms, don't pay, put the Services or other customers at risk, or if the law requires it. Where reasonable, we'll tell you first and give you a chance to fix the problem. Abuse or threats towards our team will lead to immediate termination.
- Sections of these Terms that by their nature should continue after termination, such as Your Content, Liability and General, will continue.
Changes to the Services
We are always working to improve Laya, so features may change, be added or be removed. If we remove a significant feature of a paid plan, or stop offering the Services altogether, we'll give you reasonable notice so you can export your content.
Availability, security and privacy
- We work hard to keep Laya fast, secure and available, but we provide the Services "as is" and "as available". We don't promise they will always be uninterrupted, error-free or meet your specific needs.
- We take many measures to protect your data, including encryption in transit and at rest. See our Privacy Policy for how we handle personal data.
- If your use of the Services significantly exceeds that of other customers, or affects the performance of the Services for others, we may contact you to agree a solution and, if needed, temporarily limit your usage.
Our intellectual property
We and our licensors own all rights in the Services, including the software, design and the Laya name and logo. You may not copy or reuse them without our written permission. If you send us feedback or suggestions, we may use them without any obligation to you.
Liability
- Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded under the law of England & Wales.
- Subject to point 1, we will not be liable for any loss of profits, revenue, business, goodwill or anticipated savings, for any loss or corruption of data, or for any indirect or consequential loss, however it arises.
- Subject to point 1, our total liability to you for all claims arising out of or in connection with these Terms or the Services in any 12-month period is limited to the greater of the fees you paid us in the 12 months before the claim arose and £100.
- We are not responsible for the actions of third-party platforms or apps you connect, or for delays or failures caused by events outside our reasonable control.
- You agree to compensate us for any claims, losses and reasonable costs arising from Your Content, your publishing to third-party platforms, or your breach of these Terms.
- The Services are intended for business use. If you use them as a consumer, nothing in these Terms affects your statutory rights.
General
- We may update these Terms from time to time. When we make a significant change, we'll update the date at the top of this page and let account holders know by email or in the app at least 30 days before it takes effect. If you keep using the Services after that, you accept the new Terms.
- These Terms, together with our Privacy Policy, are the whole agreement between you and us about the Services.
- If we don't enforce a right under these Terms, we haven't waived it. If any part of these Terms is found to be unenforceable, the rest stays in effect.
- You may not transfer your rights under these Terms without our consent. We may transfer ours as part of a merger, acquisition or sale of assets, and we'll tell you if we do.
- No one other than you and us has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
- These Terms, and any dispute or claim arising out of or in connection with them, are governed by the law of England & Wales, and the courts of England & Wales have exclusive jurisdiction.
